Terms of Service

1. Acceptance of Terms
By creating an account, accessing, or using the Direnium platform and any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not access or use the Services.
The Services include capabilities (AI voice calling, SMS messaging, AI-driven CRM operations) that impose specific legal obligations on you under telecommunications and data-protection law. Sections 5, 9, and 10 set out those obligations. You must read and accept them before using the relevant features.
2. Description of the Services
Direnium ("Direnium", "we", "our", or "us") provides an AI-powered business automation platform that includes:
- Visual Workflow Builder: create, publish, and manage multi-step automations with triggers, actions, conditions, and scheduling
- AI Agents: conversational and task-based AI assistants powered by large language models, with configurable abilities, brand voice, dynamic variables, knowledge attachments, and per-channel persona
- AI Voice Calling: place outbound and accept inbound phone calls in English and Hebrew, with automated transcription, summary, sentiment, and structured-variable extraction. Voice calls are routed through our voice provider (NLPearl) and can be regulated by per-tenant outbound budgets and calling-hour windows
- SMS Messaging: send transactional and marketing SMS to U.S. (+1) recipients via Twilio and to Israeli (+972) recipients via sms4free. Includes automated opt-out URL appending, Israeli "פרסומת" prefix for marketing-class messages, STOP-keyword detection, carrier-DLR-driven opt-out, daily caps, and per-recipient throttles
- Knowledge Base: upload and manage documents that AI agents can search and reference using vector embeddings
- CRM and Custom Data Objects: manage contacts, companies, deals, pipelines, activities, custom fields, and tenant-defined data objects with arbitrary fields, validation, and pipelines
- ChangeSet System: atomic, reversible bundles of configuration changes proposed by our workspace AI assistant ("Pilot") or by you, with per-field approval and one-click rollback
- Vertical Packs: opt-in starter templates for specific industries (e.g. real estate, recruiting, insurance, fitness), consisting of data shapes and starter content only
- Multi-Channel Messaging: send and receive messages across WhatsApp, Instagram, Messenger, email, Slack, and LinkedIn through automated workflows
- Integrations: connect third-party services such as Google Calendar, Gmail, HubSpot, Salesforce, ZoomInfo, Fireberry, Slack, Microsoft Teams, LinkedIn, and custom MCP endpoints
- API Access: trigger workflows and retrieve results programmatically via authenticated API keys
- Team Collaboration: multi-user workspaces with role-based access control, team groupings, and team invitations
- Audit and Compliance Tooling: tamper-evident agent action log per tenant, per-call signed regulator export, configurable audit retention, and audit-log CSV export
3. Account Registration
To use the Services, you must create an account by providing accurate and complete information, including your name, email address, and a password. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized use of your account
You may create or join workspaces (tenants), and invite team members. Each workspace is a separate environment with its own data, integrations, and settings, isolated procedurally and (for sensitive data classes) cryptographically. You are responsible for managing access within your workspace.
4. Subscriptions, Plans & Billing
The Services are offered under subscription plans that may vary in features, usage limits, and pricing. Your plan determines limits such as the number of workflows, knowledge pages, brand voices, connected channels, available integrations, and feature gates (including sms_enabled and voice features).
- Subscriptions are billed monthly. You may cancel at any time; your access continues until the end of the current billing period. Refunds are handled in accordance with Lemon Squeezy's refund policy
- We reserve the right to modify plan pricing, features, or limits with reasonable advance notice
- Continued use of the Services after a plan change constitutes acceptance of the updated terms
Credits
Credits are a virtual currency used to power AI conversations, voice minutes, SMS segments, and other billable workflow operations within the platform. Monthly plan credits expire at the end of each billing period. Purchased credit packs do not expire. Credits have no cash value and are non-transferable.
Voice Billing
Outbound voice calls reserve a credit hold at dial time, sized to typical per-minute consumption. On call completion the hold is settled against actual billed minutes; unused credits are returned to your balance. Calls that fail before connection (no-answer, voicemail, transport failure) are not billed; the hold is released in full. Inbound voice calls follow the same model with region-appropriate per-minute pricing.
SMS Billing
SMS is billed per segment, not per message: a single message is one segment if it fits within 160 GSM-7 characters or 70 Unicode characters, and is billed as multiple segments if longer. Marketing-class segments are billed at a different rate from transactional segments. Mock messages produced for evaluation tenants are not billed.
Usage Limits
Each subscription tier includes specific limits on workflows, channels, voice minutes, SMS segments per day, and other resources. Exceeding these limits may require upgrading to a higher tier. Daily SMS caps and per-recipient throttles are enforced at the platform level for safety and cannot be raised by tenants through their own configuration.
Free Trial
Paid plans include a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you will need to subscribe to continue using paid features.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights
- Send spam, unsolicited messages, or engage in abusive messaging practices across any connected channel
- Initiate voice calls or send SMS to recipients without a valid legal basis under the recipient's jurisdiction (e.g. consent, prior business relationship, transactional necessity)
- Initiate marketing SMS or recorded automated voice calls to U.S. consumers without prior express written consent as required by the Telephone Consumer Protection Act (TCPA)
- Send marketing SMS to Israeli recipients without complying with Section 30A of the Communications Law (חוק התקשורת)
- Instruct an AI agent to claim it is calling or messaging from an entity it is not (e.g. impersonating an insurance carrier, bank, or government body)
- Conceal from a recorded-call participant, in jurisdictions that require disclosure, that the call is handled by an AI assistant and is being recorded
- Attempt to circumvent platform-level opt-out enforcement (the platform refuses SMS to opted-out recipients regardless of agent instruction; bypassing this through external tools is a material breach)
- Remove a recipient from the opt-out list without that recipient's explicit, documented consent
- Upload, store, or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to the Services, other accounts, or our infrastructure, or to read another tenant's data
- Circumvent usage limits, rate limits, or security measures
- Use AI features to generate content that is illegal, harmful, deceptive, or that impersonates real individuals without authorization
- Interfere with or disrupt the Services or their underlying systems
- Reverse-engineer, decompile, or attempt to extract the source code of the Services
- Resell, sublicense, or redistribute the Services without our prior written consent
We reserve the right to suspend or terminate accounts that violate this section, with or without prior notice. Material violations of the voice/SMS provisions above may result in immediate termination without refund and reporting to relevant regulators or carriers where required by law or by our contracts with our voice and SMS providers.
6. Your Content & Data Ownership
You retain full ownership of all content you create, upload, or process through the Services ("Your Content"), including workflows, CRM records, custom data objects, knowledge base documents, brand voice configurations, AI agent personas, voice call recordings, transcripts and summaries, SMS metadata, and messages.
By using the Services, you grant us a limited, non-exclusive license to process, store, and transmit Your Content solely to operate and improve the Services. This includes sending relevant portions of Your Content to third-party AI providers (such as Anthropic and OpenAI), to our voice provider (NLPearl), and to our SMS providers (Twilio, sms4free) to execute the features you have configured.
We do not use Your Content to train our own or third-party AI models. We do not claim ownership of Your Content.
Sensitive data classes (currently voice call transcripts, summaries, and collected variables) are stored encrypted at rest using AES-256-GCM with the tenant identifier bound into the cipher's Additional Authenticated Data, so cross-tenant decryption is cryptographically impossible. All AI agent actions are recorded into a tamper-evident HMAC hash chain so the integrity of your audit trail can be independently verified.
7. Third-Party Integrations
The Services allow you to connect third-party accounts and services. When you enable an integration:
- You authorize us to access the third-party service on your behalf within the scopes you grant
- You are responsible for complying with the third-party provider's terms of service and policies
- We are not responsible for the availability, accuracy, or security of third-party services
- You may disconnect integrations at any time through your workspace settings
We store integration credentials (such as OAuth tokens) in encrypted form using AES-256-GCM and access them only as needed to execute your workflows and configurations.
8. AI Features & Limitations
The Services incorporate AI capabilities powered by third-party large language models and a third-party voice provider. You acknowledge that:
- AI-generated content (chat, voice utterances, summaries, transcript text) may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and validating all AI outputs before acting on them
- AI features are provided "as is" and we make no guarantees regarding the accuracy, reliability, or suitability of AI-generated content
- You are solely responsible for the content generated by AI agents acting on your behalf, including statements made by voice agents during phone calls and messages sent to your customers through connected channels
- Voice transcription may misinterpret accents, words, numbers, or background noise. Do not rely on voice agent output as the sole record for high-stakes decisions (financial, medical, legal). The recorded audio is the authoritative artifact
- AI responses are non-deterministic and may vary across sessions
- We may update, modify, or change AI model providers, voice providers, or configurations to improve the Services
- You can terminate any voice call at any time from the platform
- AI agents only invoke the abilities you have explicitly enabled on each agent. Abilities that write to your CRM (e.g.
update_data_record) are reversible from your records UI; abilities that send SMS or place calls are billable and irreversible at the moment of dispatch
9. Voice Calling and SMS: Specific Obligations
Because voice and SMS are heavily regulated channels with serious legal exposure, the following obligations apply specifically to your use of those features. They are in addition to the general Acceptable Use provisions of Section 5.
Recipient Consent
You are responsible for ensuring you have a valid legal basis for each call placed and each SMS sent through the Services. The legal basis depends on jurisdiction, channel, and content (transactional versus marketing). Direnium does not pre-screen your recipient lists.
Recording Disclosure
AI voice calls are recorded by default; this is necessary for the Services to function. Where the jurisdiction of any party to the call requires disclosure of recording, you must include such disclosure in the agent's opening line. Direnium provides editable voice opening sentences for this purpose.
AI Disclosure
A growing number of jurisdictions require that the human party of an AI-driven call be informed that they are speaking with an AI. We recommend including such disclosure in your agent's opening line regardless of jurisdiction.
Opt-Out Compliance
The platform automatically:
- Appends an HMAC-signed opt-out URL to every marketing-class SMS
- Prefixes Israeli marketing-class messages with the word פרסומת ("advertisement")
- Honors STOP keywords (and Hebrew הסר/ביטול) on inbound SMS
- Honors carrier-level opt-out signals delivered via DLR webhook
- Permanently blocks SMS to opted-out recipients across your tenant
You must not attempt to bypass these controls. Removing a recipient from the opt-out list is permitted only with that recipient's explicit, documented consent.
Carrier and Provider Compliance
For U.S. SMS traffic, the platform-level Twilio A2P 10DLC brand and campaign registration covers your use within registered use cases (Customer Care, Two-Factor Authentication, Marketing, Mixed). You must send only content consistent with the registered use cases and must not send categories that A2P 10DLC does not permit (e.g. SHAFT-prohibited content). Misuse may cause your traffic to be blocked by carriers and may breach our agreements with our SMS providers.
Phone Number Ownership
Phone numbers are tenant-scoped: each number is owned by exactly one tenant at any given time. There is no shared pool of phone numbers across tenants. Reassignment of a number between tenants is an explicit administrative operation and is not an implicit fallback.
Calling Hours and Outbound Budgets
Each voice agent binding can be configured with a calling-hours window and a daily outbound budget. We strongly recommend setting both, particularly for outbound campaigns, to limit risk under the U.S. Telephone Consumer Protection Act (which restricts calling hours to 8:00-21:00 local time) and analogous rules in other jurisdictions.
10. Customer is Data Controller; Direnium is Data Processor
With respect to personal data of your end users (the people you call, message, or process through the Services):
- You are the data controller. You decide who is contacted, what is asked, what data is collected, and on what legal basis. You are the entity to which a regulator will look for accountability under the GDPR, the Israeli Privacy Protection Law, the TCPA, the CCPA/CPRA, and analogous frameworks
- Direnium is the data processor. We act on your documented instructions, expressed through your workflow and agent configurations. We do not use your end users' data for any purpose other than to provide the Services to you
As the controller, you must obtain valid consent or another lawful basis before contacting your end users, provide the privacy notices required by applicable law, and honor data-subject requests directed at end users. Direnium provides per-call regulator export, opt-out management, encrypted storage of voice transcripts, and one-click record deletion to assist you. A Data Processing Addendum (DPA) is available on request at adir@direnium.com.
11. API Access
If you use the Direnium API to trigger workflows or retrieve results programmatically:
- You are responsible for securing your API keys and not sharing them publicly
- API access is subject to rate limits (currently 60 requests per minute per key)
- We may adjust rate limits or API availability as needed
- Excessive or abusive API usage may result in temporary or permanent key revocation
- API keys can be revoked or deleted at any time through your workspace settings
- The full API key value is shown to you only once at creation; only a hashed form is retained on our servers
12. Intellectual Property
The Services, including all software, design, documentation, trademarks, logos, and proprietary technology, are owned by Direnium and are protected by applicable intellectual property laws.
These Terms do not grant you any right, title, or interest in the Services beyond the limited right to use them in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from any part of the Services without our prior written consent.
13. Privacy
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information, including the special handling of voice call data, SMS metadata, encrypted PII, and the audit trail. By using the Services, you consent to the practices described in the Privacy Policy.
14. Service Availability & Modifications
We strive to maintain high availability but do not guarantee uninterrupted access to the Services. We may perform scheduled maintenance, updates, or modifications that temporarily affect availability. Voice and SMS availability is also subject to the availability of our upstream providers (NLPearl, Twilio, sms4free) and to carrier-level conditions outside our control.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice for material changes that affect your use of the Services.
15. Termination
You may close your account and stop using the Services at any time. We may suspend or terminate your account if:
- You violate these Terms or our Acceptable Use policy, in particular the voice and SMS provisions of Sections 5 and 9
- Your traffic is reported as spam, abuse, or non-compliant by carriers, voice providers, or regulators
- Your subscription lapses or trial period expires without renewal
- We are required to do so by law or by our agreements with our voice/SMS/AI providers
- We discontinue the Services (with reasonable notice)
Upon termination, your right to use the Services ceases immediately. We may retain certain data as required by law or for legitimate business purposes, including, in particular, SMS opt-out records, which we retain indefinitely so the platform can continue to honor the suppression. 16. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, DIRENIUM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED CONTENT, VOICE TRANSCRIPT, OR SUMMARY.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DIRENIUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, INCLUDING WITHOUT LIMITATION ANY DAMAGES ARISING FROM CONTENT GENERATED BY AI AGENTS ACTING ON YOUR BEHALF, FROM VOICE CALLS PLACED OR RECEIVED THROUGH THE SERVICES, FROM SMS MESSAGES SENT THROUGH THE SERVICES, FROM CARRIER OR PROVIDER OUTAGES, OR FROM REGULATORY ACTIONS RESULTING FROM YOUR USE OF THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
18. Indemnification
You agree to indemnify, defend, and hold harmless Direnium, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:
- Your use of the Services
- Your Content or data processed through the Services
- Your violation of these Terms or applicable law
- Your use of third-party integrations through the Services
- Voice calls placed or received through the Services on your behalf, including any claim arising under recording-consent law, the TCPA, the CAN-SPAM Act, the Israeli Communications Law, the Israeli Privacy Protection Law, the GDPR, or any other applicable telecommunications or privacy law
- SMS messages sent through the Services on your behalf, including any claim arising under the TCPA, CAN-SPAM, or Section 30A of the Israeli Communications Law
- Messages sent to end users through your other automated workflows
- Any claim by an end user that you contacted them without a valid legal basis or that you failed to honor a deletion, access, opt-out, or do-not-call request
19. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when these Terms were last revised. Material changes will be communicated through the platform or via email at least 14 days before they take effect. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.
20. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles. The competent courts located in Tel Aviv-Yafo, Israel, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
21. General Provisions
- Entire Agreement: these Terms, together with our Privacy Policy and any Data Processing Addendum executed between us, constitute the entire agreement between you and Direnium regarding the Services
- Severability: if any provision is held invalid or unenforceable, the remaining provisions continue in full force
- Waiver: our failure to enforce any provision does not constitute a waiver of that provision
- Assignment: you may not assign your rights under these Terms without our consent; we may assign ours in connection with a merger, acquisition, or sale of assets
- Survival: Sections 5, 6, 9, 10, and 14-18 survive termination of these Terms
22. Website Lead Forms and Callback Requests
Pages on direnium.com (including our Hebrew-language campaign pages) let you leave your name and phone number and ask us to call you back. This section applies to those submissions. You do not need a Direnium account for it to apply.
- By submitting a lead form after ticking the consent checkbox, you expressly request and consent to receive a callback at the number you provided, placed by an automated AI voice agent on behalf of Direnium, and to follow-up contact relating to your inquiry
- The callback is recorded and transcribed, as described in our Privacy Policy. The agent identifies itself as an AI assistant at the start of the call
- You represent that the phone number you provide is your own, or one you are authorized to provide
- Providing your details is voluntary and is not a condition of purchasing anything. You may withdraw your consent at any time, including during the call itself or by writing to adir@direnium.com, and we will not contact you again
- This consent covers contact relating to your inquiry. It is not consent to unrelated marketing messages, which we send only where separately permitted under Section 30A of the Israeli Communications Law or other applicable law
A Hebrew version of these Terms is available at direnium.com/he/terms. In case of any inconsistency between the versions, the English version prevails, except where mandatory Israeli consumer or privacy law provides otherwise.
